1. Overview of NexaPay Legal Entities
NexaPay is a group of affiliated companies operating across different jurisdictions to provide international payment services. The following entities are part of the NexaPay Group:
– NexaPay Pte. Ltd. (Singapore): Provides platform operations, marketing, user support, and service agreements.
– NexaPay Fintech LLC (USA): MSB-licensed entity responsible for certain collections and settlements.
– NexaPay Fintech Ltd. (Canada): MSB-licensed entity responsible for handling primary fund flow and settlement operations.
– NexaPay Brasil LTDA (Brazil): Provides local support and may act as collector or payer depending on compliance and service requirements.
2. Contracting Entities and Service Responsibilities
Depending on the nature of the service, different NexaPay entities will act as the contractual service provider:
– Merchant agreements for settlement and fund flow are currently signed with NexaPay Fintech LLC (USA).
– Platform services, data handling, and service support are provided by NexaPay Pte. Ltd. (Singapore).
– In certain jurisdictions, local transactions may be executed or supported by NexaPay Brasil LTDA or NexaPay Fintech Ltd (Canada) under internal coordination.
3. Data Processing and Privacy Responsibility
NexaPay Pte. Ltd. is the primary data controller for user data. Depending on transaction needs, personal data may be processed by other NexaPay entities.
All data is stored securely on Alicloud servers in Hong Kong. Infrastructure is maintained by YueheHe Technology (Shanghai) Co., Ltd., acting as a technical processor under strict supervision and access restrictions.
Cross-border transfers comply with applicable regulations, including GDPR, LGPD, and the Personal Data Protection Law of China.
4. Regulatory Licenses and Compliance
NexaPay operates under the following regulatory frameworks:
– NexaPay Fintech LLC is registered as a Money Services Business (MSB) with FinCEN in the United States.
– NexaPay Fintech Ltd is registered as an MSB with FINTRAC in Canada.
– NexaPay Pte. Ltd. does not provide regulated financial services but supports operations, compliance, and commercial relationships.
– NexaPay Brasil LTDA supports local operations and compliance coordination in Brazil.
All services comply with anti-money laundering (AML), counter-terrorism financing (CTF), and cross-border transaction laws applicable in each country.
5. Jurisdiction and Governing Law
Unless otherwise stated, NexaPay service agreements and user terms are governed by the laws of Singapore and subject to arbitration by the Singapore International Arbitration Centre (SIAC).
Where required by local regulations (e.g., tax or transaction laws), local legal frameworks (e.g., Brazil, USA) will apply in parallel.
